Terms of Service

1. About these terms

These Terms of Service form a contract between you and Ventrax ("Ventrax", "we", "us" or "our") when you buy, access or use the Ventrax browser extension, website, training, community or related support services (together, the "Service").

If your order confirmation contains a specific plan, price, billing period or usage allowance, that order confirmation forms part of the contract. If it conflicts with general marketing copy, the order confirmation takes priority for that purchase.

2. Who may use Ventrax

You must be at least 18 and legally able to enter a contract. Ventrax is designed for people acting wholly or mainly for their trade, business, craft or profession as online sellers. You must provide accurate account information and keep your access credentials secure.

If you purchase mainly for purposes outside your trade or business, you may be a consumer. Nothing in these terms removes rights that cannot legally be excluded, including rights under applicable consumer law.

3. The Service and Early Access

Ventrax currently operates through controlled Early Access. Access may be released in groups and may require onboarding, an eligible Chrome environment and compatible marketplace accounts. Features may be added, refined, restricted or removed while the product is developed.

We will provide the Service with reasonable care and skill. We do not promise uninterrupted availability and may carry out maintenance, security work or changes needed to keep the software usable and compliant.

4. Plans, credits and connected stores

Your plan controls the included credits, connected-store allowance, support level and billing period. Credits are usage units for specified AI-assisted actions; they are not money, cannot be transferred and have no cash value. The detailed rules are in our Credits & Fair Use Policy.

"Unlimited" means unlimited standard listing creation for your own approved business within normal human-directed use. It does not permit shared accounts, resale, unattended scraping, bypassing safeguards or providing Ventrax as a service to other people.

5. Prices, payment and renewal

The total price, billing period, renewal price and any applicable tax are shown before you pay. Payments are processed by Stripe or another provider identified at checkout. We do not receive or store your full card number.

Monthly and three-month memberships renew automatically for the same billing period until cancelled. A discounted first month applies only where it is expressly shown in your order. For example, the Growth Early Access monthly offer is £69 for the first month and then renews at £139 per month unless cancelled.

You authorise the payment provider to charge the payment method on file on each renewal date. If payment fails, we may retry the charge, restrict access or suspend the membership after giving reasonable notice.

6. Cancellation and refunds

You can stop future renewals by emailing ventraxapp@gmail.com before the next renewal date or by using a self-service cancellation method we make available. Cancellation normally takes effect at the end of the paid billing period.

Refund rights and the treatment of digital access are explained in our Cancellation & Refund Policy. That policy does not restrict rights you have because the Service is faulty, misdescribed or not provided with reasonable care and skill.

7. Your responsibilities

You are responsible for:

• reviewing and approving product choices, listing content, price, quantity and compliance before publication;
• maintaining lawful marketplace and supplier accounts and paying their separate fees;
• complying with marketplace rules, consumer law, tax rules, intellectual-property rights and product-safety duties;
• checking AI-generated content for accuracy, suitability and prohibited claims; and
• keeping backups of information you need for accounting, tax or operational continuity.

8. Prohibited use

You must not:

• share, sell, rent or sublicense your account or allow friends or unrelated businesses to use it;
• evade credits, store limits, rate limits, device checks or other technical controls;
• use the Service for unlawful, deceptive, counterfeit, infringing or unsafe listings;
• reverse engineer, copy or extract the Service except where the law expressly permits it;
• introduce malware, overload systems or interfere with another member's access; or
• use automated activity at a scale inconsistent with your plan or our fair-use rules.

9. Third-party platforms

eBay, Amazon, Chrome, Stripe and community providers are separate third parties with their own terms and systems. Ventrax is not affiliated with, endorsed by or sponsored by eBay or Amazon. We are not responsible for their downtime, account decisions, policy changes, fees, limits, data or supplier performance.

10. No earnings guarantee

Ventrax supplies software, training and workflow support. We do not guarantee any number of listings, views, sales, revenue, profit or marketplace-account outcome. Examples, estimates and capacity figures are explanatory only. Actual results depend on product selection, demand, competition, pricing, marketplace rules, supplier performance, fees, taxes and your decisions.

11. Intellectual property and licence

Ventrax and its software, design, documentation and training remain our intellectual property or that of our licensors. While your membership is active, we give you a limited, revocable, non-exclusive and non-transferable licence to use the Service for your own approved business. You retain responsibility for and rights in content you lawfully submit, subject to the permissions needed for us to process it and provide the Service.

12. Suspension and termination

We may suspend access where reasonably necessary to address non-payment, security risk, suspected abuse, unlawful activity or a serious breach of these terms. Where practical, we will explain the reason and provide a fair opportunity to resolve it. We may terminate for a serious or repeated breach.

13. Responsibility when things go wrong

We do not exclude responsibility where doing so would be unlawful, including responsibility for death or personal injury caused by negligence, fraud, or statutory rights that cannot be excluded.

If you use Ventrax for business purposes, we are not responsible for indirect or consequential loss, lost profit, lost opportunity or marketplace-account decisions where those losses were not reasonably foreseeable when the contract was made. Our total responsibility for other claims relating to a paid period will normally be limited to the amount you paid Ventrax in the 12 months before the event giving rise to the claim. This limitation does not apply where the law does not allow it.

14. Changes to these terms

We may update these terms for legal, security, product or operational reasons. We will give reasonable notice of material changes that adversely affect an active paid membership. If you do not accept a material change, you may cancel before it takes effect.

15. Governing law and contact

These terms are governed by the law of England and Wales. If you are a consumer, you may also have rights to bring proceedings in the part of the United Kingdom where you live and to rely on mandatory local protections.
